DUE DILIGENCE is an investigative process which surpasses confirming representations made by individuals regarding themselves and their corporate interests at the time of a business transaction. Business transactions include, but are not limited to, the hiring of an individual at a senior executive position, as well as transactions which involve a buy-out, merger, acquisition or divestiture. Our due diligence is designed to establish a principal’s reputation, and his/her business ethics, and to identify potential future problems. Additionally, the principal’s primary business entity is evaluated and its reputation within the business community established.

Due Diligence is more than compliance; it is a process which produces, in an analytical format, the information (including unidentified risk factors) necessary to make the best-informed business decisions. In addition to identifying, analyzing and, when necessary, going beyond public information, Sutton’s due diligence investigative service will demonstrate to interested third parties that every reasonable step has been taken to protect a corporation, its investors and the public

ASSET SEARCHES are traditionally conducted when a guaranteed loan has failed, when workout strategy is required or when comprehensive and specific information is a prerequisite to granting substantial funding. Asset searches not only reveal hidden property, business entities, financial accounts and suspicious conveyances of property, but also enable a client to assess valued items while pursuing a Judgment.

EMPLOYMENT SCREENING is defined as a process requiring the gathering and analysis of public record information which contributes to the formation of an informed, legally-defensible hiring decision. Benefits derived from a properly implemented employment screening program include the following:

FINANCIAL FRAUD INVESTIGATIONS are conducted by personnel previously employed by the FBI and/or the IRS. The experience level includes having managed complex criminal income tax investigations of organized crime figures, prominent businessmen and corporate entities. This experience translates into providing investigative services to attorneys in bankruptcy proceedings, participating as a monitoring agent, providing financial review and oversight. An interesting and new application of this service is found in the area of government and political integrity, specifically the review of financing political campaigns, both from a perspective of an antagonist or protagonist.

Independent Monitoring allows non-biased third party, an auditor or investigation. Situations in which an independent monitor might be used include the following:

  • To oversee a business, labor organization or association which has been accused of wrongdoing
  • To set up monitoring agreements designed to ensure the integrity of an agreement or business transaction
  • To oversee organizations, businesses or unions which have been placed under court- ordered trusteeship due to past illegal activities

Litigation Support Services are provided to outside and corporate counsel in preparing for litigation or in designing a settlement. These services include:

Searches include federal registrations maintained by the U.S. Patent and Trademark Office on all active, registered trademarks and service marks, and applications for registrations filed for marks used, or intended to be used, on every type of product or service that is marketed commercially in the United States. Information on registrations and applications made inactive from January 1984 onward is also included. State registrations are available in all fifty states and Puerto Rico and include trademarks and service marks used on every type of product or service that is marketed commercially within the United States and Puerto Rico. Trademark searches are also available in many other countries.

Environmental Services are provided for businesses facing potential or ongoing environmental liabilities. These services include:

  • Litigation support
  • Environmental assessment, site investigation and corrective strategies

Technical Surveillance Investigations and Electronic Eavesdropping Countermeasures include a threat assessment with respect to analysis of telephone systems, radio frequency (RF) spectrum, infrared searches, carrier current RF spectrum analysis, electronic search of an area with Non-Linear Junction Detector, and a comprehensive physical search to detect hidden microphones, transmitters, etc.

Executive Protection/Security Surveys are provided to those clients who have identified a need to have key persons or property protected. Such protection extends beyond the executive’s family and residence, the office plant and production facility and includes protection of proprietary information, whether written or database-driven.

RESEARCH is the basis for nearly all of our services. In addition to the database research that supports employment screening, due diligence and investigation, we also create financial profiles and perform criminal, civil and bankruptcy searches at both the federal and state levels.
